Terms and Conditions

1. Scope of Work & Services

Future Tech BD provides custom IT system engineering, backend API development (Laravel), and native Android application development (Java/Kotlin). Services are strictly limited to the features, milestones, and deliverables explicitly outlined in the mutually agreed Statement of Work (SOW) or project proposal. Any structural modifications, scope changes, or additional feature requests made after the signing of the SOW will require a formal Change Order and will be billed separately at our standard technical service rates.

2. Payment Terms & Milestone Acceptance

  1. Payments must be made in accordance with the milestone schedule defined in the project invoice or agreement.
  2. Client's payment against any invoice or milestone indicator signifies official acceptance of the completed work and deliverables associated with that specific phase.
  3. If an invoice remains unpaid past its designated due date, Future Tech BD reserves the right to immediately pause all active development, deployment, system administration, and support services. Original project timelines and delivery guarantees will be voided during the period of suspension.

3. Intellectual Property (IP) Ownership

  1. Full ownership, licensing rights, and the legal transfer of custom source code, application designs, configurations, and final deliverables transfer to the Client only and exclusively upon complete clearance of all outstanding payments and full settlement of the final invoice.
  2. Future Tech BD retains all rights, titles, and ownership over its pre-existing proprietary tools, background IP, reusable frameworks, and core code libraries utilized during development. The Client is granted a non-exclusive, non-transferable, perpetual license to use these integrated elements solely within the scope of the delivered application.

4. Client Responsibilities & Asset Provision

The successful delivery of engineering and development phases depends on timely client cooperation. The Client agrees to provide necessary assets (including text, media, branding, API credentials, and third-party server access) within three (3) business days of a request. Future Tech BD is not liable for project delays, missed launch windows, or deployment bottlenecks stemming from the Client's failure to provide required assets, responses, or administrative approvals.

5. Deployment & Third-Party Platforms

While Future Tech BD develops mobile applications to strictly adhere to the current publication guidelines of the Google Play Store and Apple App Store, absolute acceptance by third-party platforms cannot be guaranteed. Refusals or rejections stemming from the client's core business model, content restrictions, or shifting third-party policy guidelines are outside the scope of the standard development agreement and any corrective work will be treated as a billable service.

6. No Return & Refund Policy

Due to the custom digital nature of software development, architecture provisioning, and system engineering services, all payments made to Future Tech BD are final and strictly non-refundable. Once engineering, design, or development work has commenced on a designated project milestone, no returns or refund requests will be entertained under any circumstances.

7. Limitation of Liability

Future Tech BD delivers all software, source code, and infrastructure configurations on an "as-is" basis without warranties of any kind, either express or implied. The total aggregate liability of Future Tech BD for any claims, losses, damages, or legal causes of action arising out of or related to the services provided shall not exceed the exact monetary amount paid by the Client under the specific invoice or contract in question. Future Tech BD shall not be held liable for any indirect, consequential, or incidental damages, including but not limited to server downtime, lost revenue, or data loss.
